Terms and Conditions of Sale

1. These terms
- These terms apply to every quote, order and sale of goods by RyTech NDT Pty Ltd ("RyTech", "we", "us") to a customer ("you").
- They apply in place of any terms on your purchase order or other documents, unless we agree otherwise in writing.
- Nothing in these terms excludes, restricts or modifies any right you have under the Australian Consumer Law that cannot lawfully be excluded (see clause 10).
2. Quotes and orders
- Quotes are valid for 14 days unless stated otherwise on the quote. Prices for imported goods may change after that because of exchange rates or supplier prices.
- An order is accepted when we confirm it in writing or issue an invoice.
- Goods we don't hold in stock and order in for you ("special orders") can't be cancelled once we have ordered them from our supplier. We may ask for a deposit before ordering.
3. Prices and GST
- Prices are in Australian dollars and exclude GST unless stated. GST is added at the current rate.
- Freight is charged separately unless the quote says it is included.
4. Payment
- Approved account customers pay within 30 days of the invoice date. All other customers, including individuals, pay before goods are dispatched, or before we order them in for special orders.
- If an invoice is overdue, we may hold further orders until it is paid and recover our reasonable costs of collecting the debt.
5. Ownership and risk
- Risk in the goods passes to you on delivery to your nominated address, on collection, or when we hand them to a carrier you have nominated.
- Ownership passes to you only when we have received payment in full. Until then you hold the goods for us, and we may register our interest on the Personal Property Securities Register.
6. Delivery
- Delivery is covered by our Shipping and Delivery Policy. Delivery dates are estimates.
- We are not responsible for delays caused by suppliers, carriers, customs or other events outside our reasonable control.
7. Checking your order on arrival
- Please check goods within 7 days of delivery and tell us about any damage, shortage or wrong item within that time.
- Late notice may stop us claiming from the carrier or supplier. It does not affect your rights under the Australian Consumer Law.
8. Use of NDT products – your responsibilities
- Our products are tools for use by trained, qualified and, where required, certified NDT personnel (for example under AS 3998 or ISO 9712), working to procedures and standards suitable for the job.
- Before use, and at the intervals your procedures and the applicable standards require, you must set up, calibrate and verify the performance of instruments, probes and systems (for example against reference or calibration blocks).
- You must also check consumables before use, including batch, shelf life, storage conditions and system performance checks (for example penetrant or magnetic particle test pieces and IQI suitability).
- If a product fails your set-up, calibration or verification checks, do not use it. Contact us and we will deal with it under clause 9 and our Returns Policy.
- We supply products only. We do not carry out inspections, interpret results, give engineering opinions, or certify that any component, weld or asset is free from defects. Inspection results and accept or reject decisions are yours.
- Calibration blocks and reference standards are supplied with the manufacturer's certificate where one is stated. RyTech is not NATA-accredited and does not independently calibrate or verify them. If you need traceable calibration, arrange independent calibration before use.
- You must follow the manufacturer's instructions, safety data sheets, and all laws that apply to your work, including radiation safety and dangerous goods laws. Radiation safety products help with compliance but do not by themselves make a work site compliant.
- Product information and technical advice we give is general and given in good faith. Unless we confirm in writing that a product is suitable for a specific purpose you have told us about, you rely on your own skill and judgment in choosing it.
9. RyTech warranty
- In addition to your rights under the Australian Consumer Law, we warrant that goods will be free from defects in materials and workmanship for:
- electronic instruments (flaw detectors, thickness gauges, UV lamps, film viewers, densitometers, yokes): 12 months from delivery
- probes, transducers, cables and accessories: 3 months from delivery
- consumables (chemicals, film, markers, tapes, couplant): until the manufacturer's use-by date, when stored as directed
- This warranty does not cover calibration drift, normal wear (for example wear faces, delays, cable flex and connectors), damage from misuse, impact, incorrect voltage, chemicals or heat, repairs or modifications not approved by us, or storage outside the manufacturer's conditions.
- To claim, follow our Returns Policy. If the claim is valid we will repair or replace the goods or refund the price, at our option, and pay reasonable return freight. You bear any other costs of making the claim.
- Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
10. Australian Consumer Law and limit of liability
- Our goods are not of a kind ordinarily acquired for personal, domestic or household use. To the extent permitted by section 64A of the Australian Consumer Law, our liability for failing to comply with a consumer guarantee is limited, at our option, to replacing the goods or supplying equivalent goods, repairing the goods, or paying the cost of either.
- To the extent permitted by law, we are not liable for any indirect or consequential loss. This includes loss of profit, revenue, production or contracts, downtime, re-inspection, rework, recall, and any loss arising from an inspection result, a missed or false indication, or the failure of any component, weld, structure or asset tested using our products.
- To the extent permitted by law, our total liability for any claim relating to goods is limited to the price you paid for those goods.
- Our liability is reduced to the extent that you, your personnel or anyone else contributed to the loss, including by not following clause 8.
- These limits do not apply to liability that cannot lawfully be limited, including liability for death or personal injury caused by our negligence.
11. Your indemnity
- You indemnify us against claims by third parties arising from your use of the goods, your inspection results or reports, or your failure to follow clause 8.
- This indemnity does not apply to the extent a claim is caused by our breach of these terms or our negligence.
12. Returns
Returns, refunds and warranty claims are handled under our Returns, Refunds and Warranty Claims Policy.
13. Product changes
Manufacturers sometimes change product designs or specifications. If an ordered product changes in a way that matters, we will tell you before dispatch and you may cancel that item.
14. Events outside our control
We are not liable for failure or delay caused by events outside our reasonable control, including supplier failure, shipping or customs delays, natural disasters, pandemics and government action. We will tell you promptly and do what we reasonably can to limit the delay.
15. Privacy
We use your details to quote, supply, invoice and support your orders. We do not sell your details. See our Privacy Policy at rytechndt.com.au for more.
16. General
- These terms are governed by the laws of Western Australia.
- We may update these terms. Updated terms apply to orders accepted after they are published on our website.
- If any part of these terms is invalid, it is removed and the rest continues to apply.
- These terms cover sales only. Equipment hire is covered by a separate hire agreement.
